General Information: These sales conditions apply to all offers, quotations, and/or agreements between VelocitasNavalis Designs Pvt. Ltd.(hereinafter referred to as “VDPL”) and the customer (hereinafter referred to as “Buyer”). Any order placed with VDPL by the Buyer shall constitute the Buyer’s express acceptance of these terms and conditions.
- Scope of Work: VDPL shall deliver only the services and deliverables expressly stated in the final approved quotation or purchase order. Any modifications or additions to the scope must be agreed upon in writing and may be subject to additional charges and revised timelines.
- Delivery Dates: All delivery dates provided by VDPL are indicative and non-binding. The validity and enforceability of this Agreement shall remain fully effective irrespective of the actual delivery date. Under no circumstances shall any delay in delivery entitle the Buyer to claim compensation or to terminate the Agreement.
- Limitations of Liability: VDPL ensures that all calculations, reports, and analyses are prepared with due diligence and the highest standard of professional accuracy. Every effort is made to ensure that the data, stability assessments, and technical documentation provided comply with applicable standards and recognized best practices. However, these results are inherently dependent on the quality of input data, assumptions, and methodologies available at the time of the analysis. Variations may arise due to operational, environmental, or external conditions beyond VDPL’s control. VDPL shall not be liable for any direct, indirect, incidental, or consequential damages, including but not limited to loss of revenue, delays in operations, or financial loss resulting from the use of its analysis, reports, or recommendations. Furthermore, VDPL is expressly relieved of any liability for accidents, damage to persons or property, or other adverse outcomes resulting from the implementation, misinterpretation, or reliance on the stability analysis, calculations, or documentation supplied. This includes, but is not limited to, events arising from design flaws, material defects, or operational issues. By engaging VDPL’s services, the Buyer acknowledges and agrees that VDPL shall not be held liable for any claims, losses, or damages arising from the use of the deliverables.
- Ownership and Intellectual Property: All intellectual property rights related to methods, calculations, designs, reports, tools, or software used or developed by VDPL in the course of the engagement shall remain the exclusive property of VDPL. The Buyer is granted a non-transferable, non-exclusive license to use the final deliverables solely for the intended project. Reproduction, distribution, or modification without written consent is strictly prohibited.
- Confidentiality: Both VDPL and the Buyer agree to maintain the confidentiality of all technical, commercial, and project-specific information shared during the course of the engagement. Neither party shall disclose such information to any third party without the prior written consent of the other, unless required by law.
- Force Majeure: VDPL shall not be held liable for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, war, riots, natural disasters, governmental restrictions, pandemics, or disruptions in supply chains.
- Termination Clause: Either party may terminate this Agreement with fifteen (15) days’ prior written notice. Upon termination, the Buyer shall compensate VDPL for all services rendered and documented expenses incurred up to the date of termination, including any non-cancellable commitments made by VDPL.
- Governing Law and Jurisdiction: This Sales Agreement, including the General Conditions of Sale, shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the competent courts located in Navi Mumbai, Maharashtra.
